About the role

This role focuses on advising private equity firms and corporate acquirers on state and local tax matters throughout the transaction lifecycle. You will provide strategic guidance and practical solutions to address tax challenges and improve internal tax functions. The position is embedded within the Client Service team, where you will act as a technical specialist and a trusted advisor to clients involved in significant transactions. You will be responsible for ensuring that state and local tax considerations are integrated into every phase of the deal process. This role requires a proactive approach to identifying risks and developing actionable strategies for clients. You will work on a diverse portfolio of engagements, which means no two days will be exactly the same. Success in this role depends on your ability to translate complex tax rules into clear advice that drives client value.
Key facts
What you'll do
- Lead tax due diligence for both buy-side and sell-side transactions, uncovering critical state and local tax exposures.
- Evaluate sales and use tax risks associated with the acquisition or disposal of assets and business lines.
- Analyze income and franchise tax nexus to determine filing obligations and potential liabilities across multiple jurisdictions.
- Structure and manage voluntary disclosure and remediation projects to ensure clients achieve compliance efficiently.
- Conduct detailed taxability studies to determine the tax implications of specific transactions and business arrangements.
- Formulate transaction structuring strategies that align with client business objectives and minimize total tax burden.
- Execute pre-sale readiness assessments to identify and resolve tax issues before a transaction closes.
- Coordinate support for post-acquisition integration, ensuring tax systems and processes are aligned with the new entity.
- Defend clients during state audit examinations and controversy resolutions, representing their interests effectively.
- Drive initiatives to improve tax processes and optimize compliance frameworks using technology and best practices.
Requirements
- Possess over 5 years of increasing experience in State and Local Tax, including significant M&A due diligence.
- Bring experience gained in public accounting, consulting, or a transaction advisory practice to the role.
- Demonstrate strong technical knowledge across various state and local tax areas, including income, franchise, sales, and use taxes.
- Exhibit the ability to manage multiple client engagements and meet strict deadlines simultaneously without compromising quality.
- Show excellent written communication skills, with proven experience preparing client-ready reports that are clear and concise.
- Display capability in managing multiple engagements within a team setting, balancing priorities and resources effectively.
- Thrive in a dynamic work environment, consistently identifying problems and seeking practical and timely solutions.
- Enjoy participating in company initiatives such as community service, training programs, and recruiting events.
- Maintain a willingness to travel as needed to support client engagements, which may include regional and national travel.

Nice to have
- Hold a CPA, JD, MST, or an equivalent professional credential that demonstrates advanced tax expertise.
- Have prior experience working on complex M&A transactions in a advisory capacity.
- Show familiarity with specific state and local tax regulations in key US jurisdictions.
- Possess strong proficiency in tax research and analysis using digital tools and databases.
- Bring a track record of process improvement in tax compliance and reporting functions.
- Show an understanding of deal tax issues from both buyer and seller perspectives.
- Demonstrate experience collaborating with cross-functional teams, including finance and legal departments.
- Have a history of mentoring junior staff or contributing to team development initiatives.
