About the role

Become a vital member of Rent the Runway's legal team, focusing on corporate governance and securities law. This role requires extensive collaboration with various departments, playing a key role in shaping compliance and enhancing the company culture. You will report directly to the Chief Legal & Administrative Officer, ensuring that the organization adheres to legal standards while fostering a supportive environment.

Key facts

What you'll do

• Oversee all aspects of public company reporting, which includes preparing proxy statements, managing Section 16 filings, Form S-8 submissions, and organizing the Annual Meeting of Stockholders.
• Provide expert advice on Nasdaq listing requirements and ensure all necessary filings are completed accurately and on time.
• Offer guidance on corporate governance matters, including drafting materials for Board meetings, creating resolutions, documenting minutes, and maintaining comprehensive Board records.
• Review and ensure compliance of external communications, such as press releases and investor presentations, with securities laws.
• Counsel on executive compensation matters and related disclosures, working closely with the equity administration team to ensure accuracy and compliance.
• Manage compliance programs related to the Code of Conduct, insider trading policies, and Regulation FD to maintain organizational integrity.
• Gain a thorough understanding of the company's credit facilities, IRA, and other financing documents to guarantee ongoing compliance with legal requirements.
• Assist in future capital raising efforts, mergers and acquisitions, and strategic transactions, including managing due diligence portals.
• Handle entity administration and corporate filings across all levels, including those for the subsidiary located in Galway, Ireland.
• Oversee and coordinate with external legal counsel to ensure alignment with company objectives and legal standards.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in the New York bar or eligibility for in-house attorney registration in New York.
• A minimum of 3 years of experience working with public companies, demonstrating a solid understanding of securities law.
• High proficiency in Microsoft Excel and Google Suite applications.
• Ability to distill complex legal concepts into straightforward advice for non-legal personnel.
• A collaborative mindset with sound judgment, acting as a subject matter expert in relevant areas.
• Excellent interpersonal skills, enabling effective communication across all levels of the organization in a dynamic environment.
• Proven ability to juggle multiple high-priority projects while adhering to tight deadlines.

Nice to have

• Experience in mergers and acquisitions (M&A) and corporate finance, enhancing your capability to navigate complex transactions.
• Background knowledge in executive compensation practices and related legal frameworks.
• Familiarity with tools such as Diligent, Workiva, and Shareworks to streamline legal processes.
• A methodical and process-driven approach to scaling legal services within the organization.

Skills & tools

• Proficient in Excel for data analysis and reporting.
• Experienced with Google Suite for collaboration and document management.
• Knowledge of Diligent (preferred) for board management and governance.
• Familiarity with Workiva (preferred) for compliance and reporting solutions.
• Experience with Shareworks (preferred) for equity management and administration.
