What you'll do
- Oversee the preparation and filing of statutory documents, ensuring compliance with local regulations and corporate governance standards.
- Manage the maintenance of corporate records, including registers and minutes, for a portfolio of clients across various jurisdictions.
- Liaise with clients to provide expert advice on corporate governance, compliance issues, and best practices in corporate secretarial services.
- Coordinate and facilitate board meetings, including the preparation of agendas, minutes, and resolutions, ensuring all necessary documentation is accurate and timely.
- Assist in the incorporation of new entities, including drafting necessary documents and liaising with relevant authorities.
- Support clients in managing their ongoing compliance obligations, including annual returns and other regulatory filings.
- Conduct research on corporate governance trends and regulatory changes to keep clients informed and ensure best practices are followed.
- Collaborate with internal teams, such as legal and tax, to provide integrated solutions that meet client needs and enhance service delivery.
- Mentor and train junior staff members, fostering a culture of continuous learning and professional development within the team.
- Build and maintain strong relationships with clients, ensuring high levels of satisfaction and retention through proactive communication and service delivery.
- Participate in business development initiatives, including preparing proposals and attending client meetings to expand the firm's client base.
- Stay updated on industry developments and contribute to the continuous improvement of internal processes and service offerings.
Requirements
- A degree in law, business administration, or a related field, with a strong understanding of corporate governance and compliance.
- A minimum of 3-5 years of experience in corporate secretarial services or a related field, preferably within a professional services environment.
- In-depth knowledge of Luxembourg corporate law and regulations, as well as familiarity with international corporate governance practices.
- Excellent organizational skills with the ability to manage multiple tasks and deadlines effectively.
- Strong communication skills, both written and verbal, with the ability to convey complex information clearly and concisely.
- Proficiency in Microsoft Office Suite and corporate governance software, with a keen eye for detail.
- Ability to work independently as well as collaboratively within a team, demonstrating a proactive approach to problem-solving.
Nice to have
- Professional certifications in corporate governance or company secretarial practice, such as ICSA or equivalent.
- Experience working with clients in diverse industries, including financial services, real estate, and technology.
- Fluency in multiple languages, particularly English and French or German, is an advantage.
