About the role
Rubrik is seeking a motivated Corporate Counsel to join our legal team. This role focuses on corporate securities, transactions, and compliance, providing legal support in a dynamic in-house setting. The position is based in our Palo Alto headquarters, where you will collaborate closely with various departments. You will own the end-to-end legal lifecycle for our public company initiatives, ensuring all corporate actions are executed with precision and strategic alignment. This role requires a proactive mindset to navigate the intersection of legal compliance and business innovation in a high-growth environment. You will be instrumental in shaping our corporate governance framework and advising on critical transactions that drive our market position. You will act as a key business partner, translating complex legal requirements into actionable plans for commercial success.
Key facts
What you'll do
- Architect and finalize SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements, ensuring accuracy and regulatory compliance.
- Interpret and apply public company regulations, such as the Securities Act of 1933 and the Securities Exchange Act of 1934, to provide definitive guidance on corporate obligations.
- Lead corporate governance initiatives, preparing comprehensive board materials and coordinating meetings for Rubrik's global subsidiaries to ensure transparency and oversight.
- Facilitate corporate transactions, including mergers and acquisitions, financing arrangements, and stock repurchases, from initial assessment to final execution.
- Pioneer the integration of AI technology to develop and implement efficient corporate legal processes, enhancing productivity and scalability.
- Serve as the central liaison between external legal counsel and internal stakeholders, aligning on complex corporate initiatives and driving projects to completion.
- Conduct in-depth analysis of legal risks and opportunities associated with corporate strategies, providing clear recommendations to business leaders.
- Develop standardized legal frameworks and documentation templates to support rapid business growth and operational consistency.
- Monitor evolving regulatory landscapes to identify potential impacts and recommend proactive compliance measures.
- Collaborate with finance and investor relations teams to ensure legal strategies support broader corporate goals and financial performance.
- Oversee the maintenance of corporate records and ensure timely compliance with all statutory and regulatory filing requirements.
- Provide training and guidance to cross-functional teams on corporate legal matters, fostering a culture of compliance and awareness.
Requirements
- Possess a Juris Doctor (JD) degree and maintain active membership in at least one U.S. state bar, demonstrating a foundational commitment to the legal profession.
- Bring a minimum of 3 years of experience in corporate law, either at a leading law firm or in an in-house capacity, proving your ability to handle complex legal matters.
- Show a strong interest in AI technology, backed by a track record of using AI to enhance legal efficiency, accuracy, and scalability in previous roles.
- Exhibit comfort in collaborating with non-legal stakeholders and business teams, working effectively in a cross-functional and dynamic setting.
- Demonstrate excellent written and verbal communication skills, with a keen attention to detail that ensures high-quality legal output.
- Operate as a self-motivated professional capable of independent work, demonstrating sound business judgment and strategic thinking in decision-making.
- Manage multiple priorities and competing deadlines with poise, adapting to the fast-paced environment of a growing technology company.
- Navigate ambiguous situations with resilience, applying critical thinking to resolve challenges and meet organizational needs.

Practical notes
- The salary range for this position is between $142,600 and $213,800, with eligibility for bonuses, equity, and benefits. The final offer will depend on factors such as location, experience, and relevant qualifications.
- This role requires a hybrid work schedule, with employees working from the Palo Alto office three days per week to facilitate collaboration and team cohesion.
