About the role
This position involves providing comprehensive legal guidance on commercial agreements related to PagerDuty's software-as-a-service (SaaS) offerings. You will serve as a key legal partner supporting the go-to-market teams by structuring, drafting, reviewing, and negotiating a variety of commercial contracts. Your role is essential in ensuring that all agreements align with business objectives, legal standards, and risk management policies. You will work closely with multiple departments, including sales, finance, security, product, support, privacy, and legal teams, to facilitate deal execution and support the company's growth initiatives. The role requires a proactive approach to legal issues, a strong understanding of SaaS and AI-related transactions, and the ability to communicate complex legal concepts clearly to non-legal stakeholders. You will also contribute to process improvements, including contract lifecycle management and the adoption of legal AI tools, to streamline operations and enhance deal velocity.

What you'll do
- Draft, review, and negotiate a wide range of contracts with customers and partners for PagerDuty's SaaS products, including agreements involving machine learning and generative AI capabilities.
- Develop, update, and maintain contract templates, standard clauses, and playbooks to streamline the contracting process, potentially leveraging legal AI tools to enhance efficiency.
- Act as a trusted legal advisor to sales, services, channel partner teams, and other internal stakeholders on all deal-related legal matters, providing clear guidance and practical solutions.
- Communicate complex legal issues effectively to business teams, explaining risks and legal obligations in a manner that supports informed decision-making.
- Collaborate with cross-functional teams such as finance, sales operations, security, product, support, and privacy to ensure contractual terms meet business needs while maintaining compliance with applicable laws and regulations.
- Support negotiations of international transactions, including those involving global sales teams and cross-border agreements, ensuring compliance with relevant legal frameworks.
- Assist in managing the contract lifecycle process, including the evaluation and implementation of Contract Lifecycle Management (CLM) systems, to improve efficiency and reduce cycle times.
- Evaluate and recommend AI-powered contract review tools to support legal review processes and increase accuracy and speed.
- Contribute to legal strategies that facilitate deal velocity, including process improvements, training, and the development of best practices for contract negotiations.
- Provide guidance on legal risks associated with AI deployment, including compliance with data privacy and security frameworks such as the EU AI Act and NIST AI Risk Management Framework.
- Support public sector contracting efforts, particularly with U.S. Federal and SLED (State, Local, Education) customers, and system integrators, ensuring adherence to specific procurement rules and regulations.
- Assist in drafting and reviewing statements of work, licensing agreements, reseller agreements, consulting agreements, and strategic partnership contracts.
- Work closely with sales teams to explain legal risks, negotiate terms, and support deal closing while balancing legal protections with business support.
- Stay informed about evolving legal and regulatory developments related to SaaS, AI, and international transactions to ensure PagerDuty remains compliant and prepared for future legal challenges.
- Maintain a high level of responsiveness and service orientation, supporting the business in a fast-paced environment while managing multiple priorities effectively.
- Contribute to the development of internal legal resources, including playbooks, FAQs, and training materials, to empower sales and other teams with legal knowledge and best practices.
Requirements
- Juris Doctor degree from an accredited law school and active admission to a State Bar in good standing.
- Minimum of 9 years of experience in technology transactions, with a focus on SaaS and AI-related agreements, across diverse business lines and international contexts.
- Extensive experience drafting, reviewing, and negotiating commercial agreements, including SaaS sales contracts, reseller agreements, licensing, statements of work, and strategic partnership agreements.
- Proven ability to work effectively with cross-functional teams, including sales, finance, security, product, and legal, to support business objectives and explain legal risks clearly.
- Strong understanding of SaaS, AI, and related regulatory requirements, including familiarity with data privacy and security frameworks.
- Demonstrated responsiveness, excellent communication skills, and a service-oriented approach to legal support.
- Ability to work independently, prioritize tasks, and drive results in a fast-paced environment.
- Experience supporting international transactions and negotiating across different jurisdictions and time zones.
- Knowledge of contract lifecycle management systems and experience evaluating or implementing legal AI tools is preferred.
- Ability to balance legal risk mitigation with business support and revenue generation goals.
- Strong analytical skills and attention to detail, with the capacity to interpret complex legal and technical information.

- Experience working with global sales organizations and negotiating international agreements, including those involving cross-border legal considerations.
- Familiarity with public sector contracting, especially with U.S. Federal and SLED customers, including understanding procurement processes and compliance requirements.
- Knowledge of data privacy and security frameworks relevant to AI deployment, such as the EU AI Act, NIST AI Risk Management Framework, and other applicable standards.
- Prior experience working with regulated industries and understanding industry-specific compliance issues.
- Experience collaborating with sales operations, finance, and other departments on projects aimed at improving deal velocity, including contract lifecycle management (CLM) implementation and sales training initiatives.
- Familiarity with legal technology tools, including AI-powered contract review solutions and CLM platforms.

Practical notes
- This role requires presence in the San Francisco office at least 2 days per week.
- The annual base salary range for this position is $164,000 to $276,100 USD.
- The position may be eligible for additional compensation such as bonus, commission, and equity, along with standard benefits.
