About the role

Molecule and BIO.xyz are constructing the bedrock of Decentralized Science (DeSci), a realm where biotechnology intersects with web3 to render scientific research community-owned, transparent, and expedited to market. In this capacity, you will serve as a force multiplier for the Chief Legal Officer, navigating the intricate intersection of biotech intellectual property, decentralized finance, and blockchain-based scientific funding across Switzerland, the EU, the US, and Canada simultaneously. Your primary ownership will be the design and execution of AI-powered legal workflows end-to-end, utilizing LLMs for drafting and establishing rigorous Human-in-the-Loop review protocols to ensure quality. You will be responsible for maintaining prompt libraries and SOPs, thereby raising the operational ceiling of what a single paralegal can accomplish within this venture-backed startup environment. The role demands curiosity about the mission, as the convergence of biotech, blockchain, and AI requires a partner who is genuinely excited by the potential of decentralized scientific discovery.

What you'll do

• Draft, review, and manage corporate documents including shareholder agreements, board resolutions, NDAs, MOUs, term sheets, and governance instruments for DeSci projects.
• Prepare transactional documents for fundraising rounds, token sales, SAFTs, IP licensing agreements, and IP-NFT frameworks to facilitate compliant capital formation.
• Support IP portfolio management by coordinating patent prosecution, managing trademark filings, drafting IP assignment agreements, and handling research collaboration agreements across US, EU, and international jurisdictions.
• Assist litigation and dispute resolution through the preparation of pleadings, discovery materials, deposition summaries, privilege logs, and case chronologies in collaboration with outside counsel.
• Operate and quality-review AI legal tools integrated into Molecule's workflows, ensuring LLM-driven drafting, summarization, research, and compliance screening meet first-tier standards.
• Design structured HITL review protocols to validate AI-generated work product, confirming accuracy, compliance, and reliability before submission to the Chief Legal Officer.
• Build and maintain comprehensive prompt libraries, workflow templates, and SOPs for AI-assisted legal tasks to standardize processes and improve team scalability.
• Monitor regulatory developments across the SEC, FINMA, MiCA, and Canadian securities regulators concerning DeSci, IP tokenization, and digital assets to ensure proactive compliance.
• Support KYC/AML documentation, GDPR and data protection compliance, and regulatory filings to mitigate legal and operational risk.
• Collaborate cross-functionally with technical and scientific teams to translate complex biotech and blockchain concepts into precise legal language and frameworks.

Requirements

• AI-native with demonstrable, hands-on experience using LLMs for legal drafting, research, or document analysis, including the operation or building of HITL review workflows.
• Paralegal-credentialed, holding a diploma, certificate, or degree from an accredited institution, with a minimum of 3 years of experience in corporate, transactional, or litigation matters at a firm or in-house.
• Jurisdictionally versatile, possessing the capability to comfortably operate across US, Canadian, Swiss, and EU legal systems or showing a rapid ability to adapt to these frameworks.
• Organized and meticulous under pressure, with the ability to manage multiple concurrent matters, deadlines, and stakeholders inherent in a distributed startup environment.
• An independent and high-ownership mindset, characterized by the initiative to take matters end-to-end and escalate issues when necessary without constant supervision.
• A deep curiosity regarding the mission of merging biotech with decentralized systems, indicating a genuine interest in the company's vision through engagement with the provided context.
• Strong written and verbal communication skills, essential for drafting high-quality legal documents and coordinating effectively with distributed teams and external counsel.
• Proficient in legal research and analysis, with the ability to synthesize complex regulatory information into actionable guidance for the business.
• Commitment to maintaining the highest standards of quality and ethics in all legal work product, recognizing the critical nature of these functions in a DeSci infrastructure company.
• Willingness to adhere to strict compliance protocols and regulatory requirements across multiple international jurisdictions, ensuring the company operates within legal boundaries.

Nice to have

• Current paralegal license (LSO or equivalent provincial/state licensing) as active credentialing.
• Experience with venture capital transactions, including SAFTs, SAFEs, convertible notes, or other startup fundraising legal operations.
• Familiarity with blockchain technology, DeFi protocols, digital asset regulation, or existing DeSci ecosystems and their operational models.
• Background in IP licensing, patent prosecution support, or biotechnology research collaboration agreements to align with the specialized nature of the business.
• A bachelor's degree in law, science, business, or a related field that provides a foundational understanding of the technical and commercial landscapes.

Practical notes

• Remote-first role with flexibility across time zones, requiring availability for coordination across US, EU, UK, Canadian, and Swiss operational hours.
• Travel may be required for conferences, scientific events, and team off-sites, with expenses covered by the company as outlined in the offer.
