About the role
You will prepare initial drafts of LP transfer documents including transfer agreements, consents, and subscription agreements under the supervision of senior team members. You will liaise directly with transfer parties to clarify process and timings, ensuring all execution workflows are followed accurately and efficiently. You will work closely with lawyers and senior paralegals to contribute to high-quality client delivery on fast-moving, high-volume matters across the Americas region. You will build commercial and legal expertise over time, taking ownership of client accounts where appropriate and progressing towards qualification as a practicing legal professional. You will support the firm's mission to replace fragmented tools with a single system of record for private capital by maintaining accurate records within Carta's platform. You will assist in upholding the company's reputation as a trusted partner for over 55,000 companies and 1.8 million equity holders globally. You will engage with AI-native workflows embedded within Carta Law to deliver consistent and efficient legal services that align with the firm's innovative approach.

What you'll do
Draft initial versions of LP transfer documentation such as transfer agreements, consents, and subscription agreements.
Communicate with transfer parties to confirm process steps, timelines, and required information, documenting all interactions clearly.
Coordinate execution workflows, tracking document status and ensuring all procedural requirements are satisfied.
Collaborate with lawyers and senior paralegals to review documents, provide factual clarity, and uphold standards of quality in client deliverables.
Support the Funds team in the Americas Region by handling high-volume matters with attention to detail and strict deadline adherence.
Apply organizational skills to prioritize multiple matters simultaneously while maintaining accuracy in document preparation and record-keeping.
Develop commercial and legal expertise through exposure to private capital transactions, with opportunities to manage client accounts over time.
Assist in maintaining Carta's single system of record by inputting and verifying data related to transfers and ownership changes.
Contribute to the firm's AI-native legal operations by using embedded tools to improve speed and consistency in routine tasks.
Support the firm's long-term vision of expanding ownership in private markets by ensuring efficient and reliable client service.
Engage with documentation related to LP transfers, ensuring all terms are accurately captured and aligned with client instructions.
Monitor workflow progress and escalate or seek guidance on issues that could delay execution or impact client commitments.
Maintain compliance with internal procedures and external regulatory expectations relevant to fund transfers and ownership records.
Demonstrate professionalism in written and verbal communication, producing clear and concise updates for both internal and external stakeholders.

You have a legal educational background, such as an undergraduate Law degree or equivalent, with a Graduate Diploma in Law welcomed as an alternative pathway.
You have prior exposure to LP Transfer processes or related fund administration activities, while such experience is not mandatory, it is considered a plus.
You are comfortable working within a technology-driven legal environment where AI tools support document preparation and workflow management.
You understand the importance of confidentiality and compliance when handling sensitive client and transaction information.
