About the role
You will architect and execute complex commercial frameworks that enable FalconX to serve institutional clients in the digital asset space. This position demands a proactive builder who operates at the speed of the business while maintaining rigorous legal standards. You will act as a strategic partner to the business, translating commercial objectives into legally sound structures and documents. The role requires deep judgment in navigating overlapping regulatory jurisdictions across multiple geographies. You will own the lifecycle of critical transactions from initial scoping through execution and post-transaction review. This position will interface with the highest levels of the organization, requiring the confidence to advise on sensitive matters. You will be responsible for ensuring that all commercial activities align with the firm's governance policies and risk appetite. The work you do will directly influence the firm's ability to innovate and scale its product offerings globally.

What you'll do
Lead the drafting, negotiation, and strategic review of complex commercial agreements that underpin FalconX's trading and liquidity solutions.
Develop and implement corporate governance frameworks, ensuring that all entity management activities comply with evolving global standards.
Oversee and safeguard the firm's intellectual property portfolio, including trademarks and collaborative innovations with external partners.
Provide legal support for equity plan administration, internal restructurings, and the execution of intercompany agreements.
Monitor global regulatory developments impacting digital assets and financial services, translating these into actionable guidance for commercial teams.
Collaborate cross-functionally with Product, Engineering, and Sales to launch new features while ensuring strict adherence to financial regulations.
Manage commercial disputes and regulatory inquiries, contributing to the development of robust internal legal policies and risk mitigation strategies.
Draft and review fintech product documentation, ensuring that all client-facing institutional trading agreements meet legal and commercial objectives.
Guide corporate structuring decisions to support seamless market operations and long-term strategic growth initiatives.
Champion the integration of legal best practices into product development cycles to accelerate time-to-market without compromising compliance.
Assess vendor relationships and service agreements to ensure alignment with FalconX's operational, security, and regulatory requirements.
Provide advisory support on intellectual property strategy as it intersects with digital asset products and blockchain innovations.
Lead initiatives related to corporate entity management, ensuring accurate documentation and compliance with jurisdictional mandates.
Partner with executive leadership to evaluate commercial opportunities and the associated legal risks on a global scale.
Requirements
You possess a Juris Doctor (JD) or equivalent legal degree from an accredited institution.
You hold active admission to a State Bar and are currently in good standing.
You bring a minimum of 5 years of legal experience, ideally beginning at a top-tier law firm followed by in-house experience at a high-growth fintech or digital asset platform.
You have deep experience in corporate law, commercial transactions, specifically SaaS agreements, and partnership structures.
You demonstrate fluency in cryptocurrency, blockchain technology, and the associated global regulatory frameworks.
You are capable of distilling complex legal concepts into clear, actionable business advice for non-legal stakeholders.
You have a proven track record of managing sensitive matters with discretion and professionalism in a high-pressure environment.
You are authorized to work in the United States and require no sponsorship for the position at this time.
Nice to have
Prior experience in the digital asset or cryptocurrency industry is strongly preferred.
Experience advising on fintech licensing and financial services regulation is highly valued.
Familiarity with blockchain infrastructure and smart contract concepts is a distinct advantage.
