About the role
You will own the end-to-end tax strategy for our most critical corporate initiatives, driving alignment between complex transaction structures and our enterprise security-first AI mission. You will lead rigorous tax due diligence on all M&A transactions, synthesizing findings to protect shareholder value and ensure seamless integration. You will architect and implement global tax planning frameworks that optimize Canadian and foreign tax positions while maintaining airtight US GAAP compliance. You will serve as the primary tax advisor to Legal and business leadership, translating nuanced tax implications into clear, actionable recommendations for strategic decisions. You will monitor evolving global tax regulations, rapidly assessing impacts on our tax position and identifying proactive planning opportunities. You will design transfer pricing policies that withstand scrutiny and enhance profitability across jurisdictions. You will manage the oversight of domestic Canadian income tax compliance, ensuring timely and accurate filings through efficient process governance. You will partner with external advisors to elevate the quality of tax deliverables, leveraging advanced analytical skills to solve ambiguous, high-stakes problems.

What you'll do
- Lead tax due diligence and preliminary planning for all M&A transactions, coordinating with internal teams and external advisors to support business objectives.
- Design and implement global tax planning structures that optimize Canadian and foreign tax positions, transfer pricing outcomes, and US GAAP compliance.
- Oversee domestic Canadian income tax planning, compliance, and routine filings, establishing efficient processes with service provider coordination.
- Provide expert tax guidance to Legal and business teams on commercial arrangements and strategic initiatives, translating complex tax implications into actionable insights.
- Monitor global tax developments and assess their impact on Cohere's tax position and planning opportunities.
- Evaluate and recommend tax-efficient structures for cross-border investments and technology transactions in the AI sector.
- Develop and maintain detailed tax position documentation to support audit readiness and regulatory confidence.
- Collaborate with Finance to model tax outcomes for scenario planning, ensuring decisions are grounded in rigorous quantitative analysis.
- Partner with Indirect Tax specialists to assess and mitigate risks associated with sales, use, and digital services tax obligations.
- Champion process improvements that enhance accuracy, speed, and collaboration across tax workflows and stakeholder engagements.
Requirements
- 5-8 years of progressive experience in Canadian tax, international tax, or M&A tax.
- Strong technical expertise in Canadian income tax, transfer pricing, and cross-border tax planning.
- Proven ability to manage complex tax projects from inception to completion.
- Excellent analytical skills with both qualitative and quantitative capabilities.
- Experience in the technology or AI sector.
- Knowledge of global tax principles (US is a plus) and international tax treaties.
- Working knowledge of Canadian and global indirect tax systems.
- Strong communication skills to explain complex tax concepts to non-tax stakeholders.
- JD designation preferred.
- Advanced proficiency in Excel / Google Sheets and tax research tools.
Nice to have
- Knowledge of global tax principles (US is a plus) and international tax treaties.
- Experience in the technology or AI sector.
