About the role
You will serve as a strategic commercial partner, embedded directly within the sales cycle to de-risk and accelerate enterprise contract execution. In this capacity, you will own the legal strategy and documentation for complex, high-value deals that shape our customers' digital transformation journeys. You will act as the primary reviewer and negotiator of our standard and custom commercial agreements, ensuring terms align with both our business objectives and our risk appetite. You will collaborate closely with revenue teams, product leaders, and finance stakeholders to provide timely, commercially aware legal guidance. Your work will focus on leveraging our Data-first Agreement Platform to maintain a single source of truth for contract data and metadata. You will help define and evolve our commercial playbook by identifying patterns in negotiations and codifying best practices into reusable templates. Ultimately, you will be responsible for protecting our brand while enabling scalable, efficient growth in the most critical enterprise markets.

What you'll do
Drive the end-to-end contracting process for strategic accounts by drafting, reviewing, and negotiating complex commercial agreements that remove friction from the path to adoption.
Partner with Sales Executives and Customer Success leaders to translate commercial objectives into precise legal language without sacrificing deal momentum or customer trust.
Analyze customer requirements against our standard offerings to identify gaps, exceptions, and opportunities for configuration within our Data-first Agreement Platform.
Champion the adoption of approved contract playbooks and clause libraries to ensure consistency, compliance, and efficiency across all engagement types.
Perform in-depth risk assessments on new terms, liability limitations, and data handling provisions to safeguard our intellectual property and operational integrity.
Collaborate with Finance and Revenue Operations to model the financial impact of alternative contract structures and payment terms.
Liaise with implementation and professional services teams to ensure that executed agreements translate smoothly into operational workflows and service delivery plans.
Interpret emerging customer business models to anticipate contractual implications and propose forward-thinking solutions that protect our long-term interests.
Serve as the primary escalation point for legal questions during active negotiations, providing clear, actionable advice to support rapid decision-making.
Contribute to the continuous improvement of our contract lifecycle management processes by documenting outcomes, trends, and lessons learned for the broader legal team.
Lead cross-functional reviews of high-impact agreements, aligning legal, commercial, and technical perspectives to achieve coherent and enforceable outcomes.
Develop and maintain strong relationships with key stakeholders, positioning the legal function as a trusted advisor rather than a gatekeeper.
Monitor competitive deal structures and market expectations to ensure our contract terms remain attractive, modern, and defensible.
Utilize data and insights from executed contracts to inform future negotiations and refine our value proposition in key segments.
Requirements
You must be a licensed attorney in good standing in at least one U.S. jurisdiction, with a demonstrated history of practicing commercial law.
You must possess a minimum of five years of post-qualification experience in commercial contracting, with a focus on enterprise software or technology transactions.
You must have hands-on experience drafting, reviewing, and negotiating a wide range of commercial agreements, including but not limited to master services agreements, statements of work, service level agreements, and non-disclosure agreements.
You must be proficient in managing the full contract lifecycle, from initial drafting through negotiation, execution, and post-signature obligations.
You must have a strong understanding of commercial risk management, including liability allocation, indemnification, limitation of remedies, and data protection clauses.
You must be comfortable working with contract management and CRM systems to track obligations, deadlines, and version control.
You must demonstrate excellent judgment in balancing legal rigor with business enablement to avoid unnecessary delays.
You must possess outstanding written and verbal communication skills, with the ability to translate complex legal concepts into clear, concise guidance for non-legal audiences.
Nice to have
Experience with Salesforce CRM and Conga or similar contract generation tools.
Familiarity with subscription-based or SaaS revenue models and related terminologies.
Knowledge of information security topics, such as data privacy, encryption, and incident response.
Experience in a globally distributed environment, working across time zones and cultures.
Practical notes
This is a full-time position based in the United States.
The role requires occasional travel to meet with key customers and stakeholders as needed.
