Rubrik is seeking a highly skilled attorney to fill the position of Director of Corporate Legal and M&A. This individual will own the strategic oversight of corporate legal operations and merger and acquisition activities for the company. They will manage the full lifecycle of corporate transactions while simultaneously leading the response to any security or compliance incidents. What you'll do

• Execute the oversight and strategic guidance of SEC filings and public disclosure obligations, ensuring meticulous compliance with securities regulations.
• Architect and manage the end-to-end legal workflow for mergers and acquisitions, conducting exhaustive due diligence and steering negotiations.
• Design, implement, and evolve corporate compliance structures, placing significant emphasis on export control regulations and anti-bribery statutes.
• Orchestrate the corporate response to cybersecurity incidents, synchronizing efforts across legal, IT, and communications to satisfy regulatory notification mandates.
• Direct the mentorship and professional development of a high-caliber legal team, instilling best practices and a culture of rigorous analysis.
• Provide authoritative legal counsel to senior leadership regarding complex technology-driven transactions and corporate governance matters.
• Evaluate, draft, and negotiate intricate commercial agreements to safeguard the company's interests and support scalable growth.
• Liaise proactively with external advisors and regulatory bodies to ensure alignment with legal requirements and corporate strategy.
• Implement legal project management methodologies to enhance efficiency and control costs across the corporate legal function.
• Analyze emerging legal trends and regulatory changes to advise the business on potential risks and strategic opportunities.

Requirements

• Possess a Juris Doctor (J.D.) degree from an accredited law school and maintain active membership in the California Bar or hold eligibility for in-house counsel registration in California.
• Demonstrate a minimum of 8 years of cumulative experience, with substantial contributions in both law firm and in-house corporate legal settings.
• Exhibit proven knowledge and experience in the domain of public company securities, including a deep understanding of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Bring extensive experience in leading technology-related M&A transactions through every stage, from initial due diligence through post-closing integration.
• Show a strong background in developing and managing corporate compliance programs, specifically within the realms of export controls and anti-corruption frameworks.
• Display familiarity with the legal and regulatory aspects of cybersecurity incident response and the associated disclosure requirements.
• Communicate with exceptional clarity and precision, both in writing and verbally, to convey complex legal concepts to diverse audiences.
• Operate effectively with a high degree of independence and judgment in a fast-paced, demanding corporate environment.
• Exhibit a proven track record of managing, developing, and mentoring legal teams while fostering productive cross-departmental collaboration.

Practical notes

The salary range for this position is between $253,400 and $355,100 annually, with potential for bonuses and equity. The final offer will be influenced by location, skills, experience, and education.
