Oscar Health is seeking a dedicated Corporate Paralegal to join our dynamic legal team. In this position, you will play a crucial role in supporting our legal operations, ensuring compliance, and facilitating various corporate governance matters. What you'll do
- Assist in the preparation and filing of corporate documents, including articles of incorporation, bylaws, and amendments, ensuring compliance with state and federal regulations.
- Conduct thorough legal research to support various corporate matters, including mergers and acquisitions, compliance issues, and contract negotiations.
- Draft, review, and manage a variety of corporate agreements, including non-disclosure agreements, service agreements, and vendor contracts.
- Organize and maintain corporate records, including minute books, resolutions, and other essential documentation, ensuring they are up-to-date and accessible.
- Collaborate with internal stakeholders to facilitate the execution of corporate governance processes, including board meetings and shareholder communications.
- Assist in the preparation of regulatory filings and reports, ensuring timely submission to relevant authorities.
- Support the legal team in managing litigation matters, including document collection, discovery, and trial preparation.
- Monitor changes in corporate laws and regulations to ensure the company remains compliant and inform relevant stakeholders of necessary adjustments.
- Coordinate with external legal counsel on various matters, including litigation, compliance, and corporate governance issues.
- Provide administrative support to the legal team, including scheduling meetings, maintaining calendars, and organizing legal documents.
- Participate in special projects and initiatives as needed, contributing to the overall efficiency and effectiveness of the legal department.
- Foster strong relationships with internal teams, promoting a culture of compliance and legal awareness throughout the organization.
Requirements
- Bachelor's degree in a related field or equivalent experience in corporate law or paralegal studies.
- A minimum of 3 years of experience as a paralegal, preferably in a corporate legal environment.
- Strong understanding of corporate governance principles and compliance requirements.
- Proficiency in legal research tools and databases, with excellent analytical skills.
- Exceptional written and verbal communication abilities, with a keen attention to detail.
- Ability to manage multiple tasks and deadlines in a fast-paced environment while maintaining a high level of accuracy.
- Strong organizational skills and the ability to work independently as well as part of a team.
- Familiarity with contract management software and document management systems is a plus.
- Knowledge of healthcare regulations and compliance issues is advantageous but not mandatory.
Nice to have
- Certification from a recognized paralegal organization (e.g., NALA, NFPA) is a plus.
- Experience in the healthcare industry or with healthcare-related legal matters.
- Familiarity with corporate governance software and tools.
- Previous experience supporting M&A transactions or corporate restructuring.
- Bilingual skills, particularly in Spanish, can be beneficial in a diverse workplace.

- Familiarity with contract management systems and electronic filing systems.
