Multiverse is actively seeking a Share Plans Senior Specialist to join their Legal team in London to manage the intricate details of employee equity programs and ensure strict adherence to company secretarial regulations. The successful candidate will operate with a high degree of autonomy, taking full ownership of complex administrative workflows that intersect with critical business operations. You will work in close collaboration with the Legal, Finance, and People departments to ensure alignment between equity strategy and overall corporate objectives. This position is pivotal in maintaining the integrity and accuracy of the company's ownership structure and compliance posture. You will be responsible for navigating the nuances of UK statutory requirements while supporting the global ambitions of a growing technology firm. The role demands meticulous attention to detail and the ability to translate complex regulatory requirements into efficient operational processes. What you'll do
- Orchestrate the complete lifecycle of equity documentation, drafting and finalizing option agreements and processing exercise notices with precision.
- Drive the optimization of equity issuance and exercise workflows to enhance the user experience for employees and stakeholders.
- Administer and maintain the cap table and option ledger within the Carta platform, ensuring data accuracy and version control.
- Oversee the maintenance of statutory share registers and manage all necessary filings with HMRC, including the annual ERS returns.
- Provide expert guidance and assistance to employees throughout the exercise process, while rigorously managing vesting schedules and leaver determination assessments.
- Draft and prepare board resolutions and shareholder documentation for entities in the UK and Germany, ensuring legal validity and compliance.
- Manage the corporate records required by Companies House and coordinate effectively with German notaries for entity compliance.
- Facilitate and organize board meetings, diligently manage the governance calendar, and draft comprehensive minutes to record decisions.
- Supervise the performance and compliance of external company secretarial providers and maintain the master files for group structure documentation.
- Liaise with finance and HR to reconcile share-based payments and ensure the accurate reflection of equity transactions in financial records.
- Implement and monitor internal controls to mitigate risk associated with equity management and company secretarial functions.
- Serve as the primary point of contact for queries related to share plans from employees, auditors, and regulatory bodies.
- Ensure all processes adhere to the company's governance policies and the broader legal framework governing share ownership.
- Proactively identify areas for improvement within the equity administration framework and suggest actionable solutions to senior stakeholders.
Requirements
- Bring proven experience in equity administration or company secretarial work, demonstrating a track record in either an in-house environment or within a law firm setting.
- Show deep knowledge of UK share schemes, specifically EMI or CSOP, and the associated HMRC compliance cycle and reporting requirements.
- Demonstrate proficiency with equity management platforms such as Carta, Ledgy, or Global Shares, and the ability to quickly master new systems.
- Possess the ability to manage competing priorities and strict deadlines independently, maintaining composure under pressure.
- Exhibit strong drafting skills for the creation of governance documents, board resolutions, and formal correspondence with legal precision.
- Hold a solid understanding of the legal and regulatory landscape relevant to share ownership and employee equity in the United Kingdom.
- Have a history of meticulous attention to detail, ensuring high standards of accuracy in all documentation and data management tasks.
- Be committed to maintaining the highest levels of confidentiality and discretion when handling sensitive employee and company data.
Nice to have
- Hands-on experience with Companies House filings and a thorough understanding of UK private company compliance procedures.
- Familiarity with multi-entity or cross-border corporate structures and the challenges they present in equity management.
- Exposure to German corporate or employment law, particularly regarding the implications for share schemes and board governance.
- Possession of a CGI (ICSA) qualification or a background in legal or paralegal studies with significant governance experience.

Practical notes
This is a part-time role requiring a commitment of 4 days per week, with a hybrid schedule that includes three days in the office.
