About the role

You will own the full lifecycle of complex corporate transactions, driving strategy and execution from initial planning through closing and post-transaction integration. You will design and implement scalable legal frameworks, creating durable processes and templates that outlast individual projects and set standards for efficiency. You will act as a strategic business partner, aligning legal advice with the aggressive growth goals of Finance, People, and Operations to unblock critical initiatives. You will manage high-stakes relationships with outside counsel and vendors, exercising clear judgment to navigate ambiguity and protect the company. You will take ownership of entity governance and global expansion efforts, ensuring compliance and discipline across a multinational structure. You will lead negotiations and drafting on securities and equity matters, balancing commercial objectives with regulatory requirements and investor expectations. You will oversee complex M&A due diligence and integration tasks, coordinating cross-functional workstreams to ensure seamless execution. You will bring proactive problem-solving to insurance and real estate matters, mitigating risk while enabling business continuity.

What you'll do

• Execute end-to-end M&A transactions, conducting due diligence, drafting and negotiating definitive agreements, and managing post-closing integration and outside counsel.
• Support financing activities, stock transfers, and equity administration, ensuring accurate corporate governance and investor readiness for board materials.
• Lead global expansion initiatives, including entity formation, subsidiary maintenance, governance compliance, and board meeting coordination.
• Manage real estate transactions from negotiation to close, coordinating stakeholders and ensuring efficient, risk-aware execution.
• Oversee insurance matters, structuring programs and managing relationships to protect the company and support continuity.
• Design, implement, and continuously improve scalable legal processes, templates, and playbooks to drive consistency and efficiency across corporate functions.
• Act as a trusted business partner to cross-functional stakeholders, aligning legal strategy with operational priorities and growth objectives.
• Provide solutions-oriented advice on securities and equity matters, navigating complex regulations and investor expectations with sound judgment.
• Manage competing priorities in a fast-paced environment, delivering high-quality work under tight timelines without compromising accuracy.
• Build deep expertise across an evolving practice, collaborating closely with the team to solve new challenges and elevate the corporate legal function.

Requirements

You hold a JD degree and are licensed to practice in either California or New York. You bring 3-6+ years of legal experience with a strong foundation in corporate law, including deep expertise in M&A, securities and equity matters, corporate governance, and the flexibility to handle adjacent corporate issues. You have demonstrated experience supporting fast-growing technology companies, preferably including at least one year in an in-house role. You have direct experience supporting global expansion and multinational corporate structures, with a clear understanding of cross-jurisdictional compliance. You thrive in a fast-paced environment, managing competing priorities and thinking creatively and strategically under pressure. You work in a team-focused, collaborative manner, willing to build new capabilities and solve problems as your practice evolves. You communicate with exceptional clarity, driving stakeholder alignment and providing solutions-oriented legal advice. Experience with employment matters and later-stage company governance is a plus, but not required. You are disciplined, ownership-oriented, and committed to maintaining the highest standards of accuracy and judgment in all your work.

Nice to have

Experience advising at a venture scale-up or in a prior in-house role is preferred. Demonstrated ability to design and implement legal processes and playbooks that improve efficiency is a significant advantage. Familiarity with entity management software and global compliance frameworks is valued. Experience supporting board-level preparation and investor relations activities is a preferred trait. Exposure to complex securities and equity compensation matters is viewed as a beneficial background. Capability to operate independently with minimal supervision while collaborating effectively across distributed teams is appreciated.

Practical notes

The role is full-time. Compensation is based on location. Relocation is not available. This role requires a high degree of intensity, ownership, and collaboration in a rapidly scaling environment.
