About the role
The Corporate Counsel reports into the Head of Legal and acts as a primary legal partner to multiple internal stakeholders at FiscalNote. This role owns the full lifecycle of legal matters, providing strategic counsel on corporate, commercial, technology, regulatory, compliance, employment, privacy, and data security issues. The hire will exercise significant independent judgment to assess material legal risk and translate complex legal concepts into clear, practical guidance for non-lawyer business teams. You will manage matters from initial intake through final execution, ensuring alignment with business objectives and regulatory obligations. The position requires a proactive mindset to identify issues before they escalate and to build scalable legal operations that support global growth. You will collaborate closely with People, Product, and Business Development to structure deals, draft agreements, and advise on strategic initiatives. Success in this role is defined by the ability to balance speed with quality, reduce legal bottlenecks, and enable responsible innovation. You will be expected to own your portfolio with accountability for outcomes, communication, and continuous improvement of legal workflows.

What you'll do
Conduct intake interviews with business stakeholders to understand factual scenarios, then analyze issues and recommend legally sound courses of action.
Draft, review, and negotiate a wide range of commercial agreements, including contracts related to sales, services, partnerships, and procurement while managing version control and negotiation playbooks.
Develop and maintain corporate governance documents, board materials, and organizational records to ensure accurate representation of the company's structure and compliance obligations.
Design and implement privacy and data security policies, assessments, and incident response procedures that align with applicable laws and internal risk thresholds.
Provide day-to-day compliance guidance on employment, labor, and privacy matters, interpreting regulations and internal policies for cross-functional teams.
Partner with Product and Business Development to evaluate regulatory constraints, market entry considerations, and commercial structures for new initiatives and geographic expansion.
Own the administration of corporate records and the governance of entity formations, mergers, acquisitions, and dissolutions as they relate to the business.
Coordinate with external counsel to manage litigation, investigations, and regulatory inquiries while controlling costs and maintaining clear internal communication.
Establish and refine legal operations processes, including matter management, vendor oversight, and key performance indicators to improve efficiency and transparency.
Serve as a trusted advisor to senior leadership by translating legal risk into business terms, supporting board meetings, and contributing to long-term strategic planning.
Maintain up-to-date knowledge of evolving legal landscapes, including regulatory changes in technology, data protection, and commercial law that could impact the company.
Manage legal technology tools and documentation systems to ensure accuracy, security, and audit readiness across the legal function.
Support the development and execution of training programs to elevate legal awareness across the organization and promote a culture of compliance.
Act as a escalation owner for high priority legal matters, driving resolution through collaboration with stakeholders and external advisors while documenting decisions and rationales.
Requirements
Must be admitted to practice law in at least one jurisdiction in the United States or demonstrate eligibility to be admitted within a reasonable timeframe.
Must possess a Juris Doctor degree from an accredited law school and be in good standing with the relevant bar associations.
Must have at least five years of post-J.D. legal experience, with a demonstrated track record of handling complex commercial and corporate matters.
Must have substantial experience drafting, reviewing, and negotiating commercial contracts, including agreements common to technology and professional services businesses.
Must have a strong understanding of corporate law, including entity formation and governance, securities regulations, and board-related responsibilities.
Must have direct experience advising on privacy laws, data protection regulations, and information security practices relevant to technology companies.
Must have experience working in a fast-paced, cross-functional environment where legal advice must be delivered quickly and clearly to non-lawyer stakeholders.
Must demonstrate excellent written and oral communication skills, with the ability to translate technical legal concepts into practical business guidance.
Must be eligible to work in the United States without requiring work authorization sponsorship at the time of hire.
Nice to have
Prior experience in a corporate legal department or a law firm that serves corporate clients, with exposure to technology and SaaS businesses.
Experience with legal technology platforms, contract lifecycle management systems, and document automation tools.
Knowledge of U.S. federal and state privacy regulations, including but not limited to sectoral and comprehensive privacy frameworks.
Understanding of regulatory issues in digital advertising, data security, and electronic communications.
Experience advising on global expansion, including cross-border regulatory considerations and international commercial practices.
Background in employment, labor, and benefits law relevant to fast-growth organizations.
Practical notes
This is a full-time, remote position based in the United States.
No specific working hours are mandated, but the role requires availability during standard business hours for collaboration with internal stakeholders.
There may be occasional travel required for legal conferences, meetings with stakeholders, or events as determined by business needs.
