This role is within the Carta Law team, specifically under Contracts for North Americas. You will manage the full lifecycle of commercial contracts, acting as the trusted advisor for sophisticated investment clients. The position involves high-volume, pre-M&A work delivered with speed and precision.
The Problems You Will Solve
You will own the intake and execution of commercial agreements critical to Carta's clients. This includes negotiating and managing a high volume of pre-M&A instruments such as NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. You will serve as the primary day-to-day contact for sophisticated investment funds and asset managers. Your guidance will shape negotiation strategies and ensure adherence to strict turnaround times.
Maintaining and updating client playbooks is essential to ensure ongoing consistency and quality. You will collaborate closely with junior lawyers and paralegals, reviewing their work and mentoring them to build a high-performing team. Continuous improvement of Carta's legal technology suite is a key duty, identifying opportunities to innovate using AI-backed tools like Ava.
About You
The ideal candidate is commercially minded and client-focused. You translate legal advice into clear, concise guidance for sophisticated financial services contacts, building trusted relationships. You bring 6 to 8 plus years of post-admission experience in corporate or transactional law. A proven track record of independently negotiating pre-M&A instruments is required.
You have direct experience working with asset managers, investment banks, or other financial services firms. This background gives you insight into their operational expectations and delivery standards. Your written communication is precise and effective, even under tight deadlines.
You thrive in fast-paced environments, prioritizing tasks and taking ownership without supervision. Self-motivation drives your work, and you actively seek improvements rather than waiting for direction. Comfort with legal technology is necessary, and an interest in AI tools is a significant advantage.
Compensation and Location
This role is based in Toronto, Ontario, Canada. The expected cash compensation range is $157,600 to $197,000 CAD. Equity, benefits, and potential commissions are part of the total rewards package. Final offers may vary based on geography, experience, and expertise.
What You Will Do
- Setting intake quality standards for commercial contracts to ensure downstream teams receive consistent, clean files.
- Guiding negotiation strategy for funds and managers, then drafting and revising terms within firm turnaround windows.
- Owning day-to-day client touchpoints with sophisticated investors to maintain trust and clarity.
- Refreshing playbooks and checklists to keep guidance accurate across jurisdictions and deal types.
- Mentoring junior lawyers and paralegals through precise edits and constructive feedback.
- Championing practical improvements to Carta's legal tech stack, testing AI features that accelerate drafting and review.
- Partnering with product and sales teams to align contract language with commercial intent and risk appetite.
- Tracking outcomes and feedback to refine templates, clauses, and processes for future transactions.
Requirements
- You hold a law degree and are licensed to practice in the Americas region, either US or Canada.
- You bring 6 to 8 plus years of post-admission corporate or transactional experience.
- You have a record of independently negotiating pre-M&A instruments.
- You have handled clients from asset managers, investment banks, or other financial services firms.
- You communicate crisp written advice and build strong relationships with sophisticated contacts.
- You thrive in fast-paced settings and prioritize effectively.
