About the role
This counsel position within Carta Law supports finance and legal objectives for Carta's end-to-end ERP platform for private markets. The role operates across multiple locations and aligns legal work with fund administration and private capital markets workflows. You will own the legal strategy and documentation that underpins our fund administration capabilities and related transactions. You will translate complex business requirements from finance and product teams into precise, enforceable legal terms. The position requires a high degree of judgment to navigate regulatory constraints while enabling commercial initiatives. You will be a key partner in drafting, reviewing, and negotiating agreements that define our business relationships. Success in this role depends on your ability to manage risk without impeding the speed of our operations.

What you'll do
Draft and review agreements to support fund administration and related transactions.
Provide legal counsel on regulatory matters to support adherence to fund administration, compliance, and relevant regulations.
Produce legal documentation for fund administration, valuations, taxes, equity programs, compensation, and other business requirements.
Support the development, maintenance, and application of contracts, policies, and procedures for private markets operations.
Assist in managing third-party relationships and service provider arrangements to support private capital markets workflows.
Interpret and apply fund administration rules and compliance requirements to operational workflows.
Analyze business initiatives to identify legal risks and develop solutions that align with corporate objectives.
Collaborate with finance, product, and compliance teams to integrate legal guidance into platform design.
Maintain awareness of regulatory changes impacting fund administration and private capital markets.
Draft board resolutions and corporate governance documents to support fund administration activities.
Review service provider agreements to ensure alignment with operational and compliance standards.
Support the implementation of policy updates across global jurisdictions.
Perform legal analysis to support audits, examinations, and regulatory inquiries.
Communicate complex legal concepts to non-legal stakeholders in a clear and actionable manner.
Requirements
A bachelor's degree is required; the specific field must be confirmed A law degree or related field is required to build a foundation for this role.
Prior counsel or in-house legal experience is expected to perform the responsibilities.
Strong knowledge of fund administration, compliance, and relevant regulations is required for effective legal support.
The ability to work effectively across multiple jurisdictions and with global stakeholders is required.
Strong written and oral communication skills are essential for drafting documents and advising stakeholders.
Ability to manage multiple priorities and meet strict deadlines in a fast-paced environment.
Proficiency with legal research tools and document drafting software is required.
Understanding of corporate governance and regulatory compliance principles is required.
