About the role
Birchcreekenergy is seeking a dedicated and experienced Corporate Counsel to join our dynamic legal team. This position will play a crucial role in providing legal support across various aspects of our operations, ensuring compliance with regulations, and protecting the company's interests. The ideal candidate will have a strong background in corporate law, particularly within the energy sector, and will be responsible for advising on a range of legal matters while collaborating with various departments to facilitate business objectives.
Key facts
What you'll do
- Provide comprehensive legal advice to the company on corporate governance, compliance, and regulatory matters, ensuring adherence to all applicable laws and regulations in the energy sector.
- Draft, review, and negotiate a wide variety of contracts, including but not limited to service agreements, joint venture agreements, and procurement contracts, to protect the company's interests.
- Collaborate with internal stakeholders, including executives and department heads, to identify legal risks and develop strategies to mitigate them effectively.
- Conduct legal research and analysis to support business decisions and provide insights on emerging legal trends that may impact the company.
- Manage and oversee any litigation matters, working closely with external counsel to ensure effective representation and resolution of disputes.
- Develop and implement corporate policies and procedures to enhance compliance and risk management practices within the organization.
- Provide training and guidance to employees on legal and compliance issues, fostering a culture of awareness and adherence to legal standards.
- Assist in mergers, acquisitions, and other corporate transactions, conducting due diligence and ensuring compliance with all legal requirements.
- Monitor changes in laws and regulations that may affect the company's operations and advise management on necessary adjustments to policies or practices.
- Support the company's sustainability initiatives by advising on environmental regulations and compliance matters relevant to the energy industry.
- Participate in strategic planning sessions, offering legal insights that align with the company's long-term goals and objectives.
- Maintain accurate and organized legal documentation and records to ensure compliance and facilitate easy access to information when needed.
Requirements
- Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
- A minimum of 5 years of experience practicing corporate law, preferably within the energy sector or a related field.
- Strong understanding of corporate governance, compliance, and regulatory frameworks applicable to the energy industry.
- Proven experience in contract negotiation and drafting, with a keen eye for detail and risk assessment.
- Excellent analytical and problem-solving skills, with the ability to provide practical legal solutions to complex business issues.
- Strong communication and interpersonal skills, with the ability to collaborate effectively across various levels of the organization.
- Demonstrated ability to manage multiple projects simultaneously while meeting deadlines in a fast-paced environment.
- High ethical standards and a commitment to maintaining confidentiality and integrity in all legal matters.
Nice to have
- Experience with environmental law and regulations, particularly those affecting the energy sector.
- Familiarity with international business transactions and cross-border legal issues.
- Previous experience working in-house for an energy company or a law firm specializing in energy law.
- Knowledge of corporate finance and securities regulations.

- Proficient in legal research tools and software, such as LexisNexis or Westlaw.
- Familiarity with contract management software and document management systems.
- Strong proficiency in Microsoft Office Suite, including Word, Excel, and PowerPoint.
