About the role

Solace is seeking a lawyer to manage our corporate and financial legal operations as we scale. You will report to the Chief Legal Officer and focus on preparing our organization for future public market entry while handling complex transactions. The role requires a strategic partner who can navigate the intersection of legal compliance and business growth in a fast-paced environment. You will be instrumental in building the legal infrastructure necessary for a publicly traded company. This position demands a high degree of ownership and the ability to operate with minimal supervision. You will work closely with executive leadership to de-risk complex initiatives. What you'll do

• Lead the structuring and execution of equity and debt financing, credit facilities, and capital markets transactions, ensuring alignment with corporate strategy and regulatory requirements.
• Manage M&A activity from initial diligence through closing, including drafting NDAs, LOIs, and purchase agreements while safeguarding client interests and mitigating commercial risks.
• Establish the governance and compliance frameworks required for public company readiness, implementing policies and procedures that meet evolving regulatory expectations.
• Prepare board and committee materials, including minutes, resolutions, and agendas, to facilitate efficient decision-making and maintain comprehensive records.
• Administer entity management, including qualifications, formations, and dissolutions, to maintain accurate corporate records and legal standing across jurisdictions.
• Develop internal policies to ensure compliance with securities regulations, translating complex legal mandates into actionable guidelines for the business.
• Collaborate with Finance, Compliance, and Corporate Development on risk management, audits, and equity planning to integrate legal insights into strategic business decisions.
• Create legal playbooks and templates to increase operational efficiency for the legal team, standardizing processes to reduce execution risk and improve consistency.
• Coordinate with external counsel and advisors on transactional and securities matters, serving as the primary point of contact to streamline communications and drive outcomes.
• Conduct in-depth legal analysis on corporate matters, providing clear and concise recommendations to leadership in a dynamic and evolving environment.
• Partner with stakeholders to identify potential legal obstacles and proactively develop strategies to address them before they impact business objectives.
• Oversee the implementation of corporate resolutions and formalities to ensure the company maintains robust corporate governance and regulatory compliance.
• Draft, review, and negotiate a wide array of commercial agreements to support business development and operational needs while protecting company interests.
• Monitor changes in securities laws and regulations, advising the organization on necessary adjustments to maintain compliance and avoid penalties.

Requirements

• JD from an accredited law school and active, good-standing bar membership, demonstrating a foundational commitment to the legal profession and adherence to ethical standards.
• 3 to 9+ years of experience in securities, corporate, and transactional law, providing a proven track record of handling complex legal matters in a professional setting.
• Proven history managing M&A, financing, and corporate governance matters, showcasing the ability to execute sophisticated legal strategies.
• Ability to balance business risk with rapid execution, making informed decisions that support both compliance and business agility.
• Strong project management, drafting, and negotiation skills for cross-functional transactions, ensuring seamless collaboration with diverse teams.
• Must be based in the United States, reflecting the current operational and regulatory environment of the role.
• Demonstrated experience with corporate structuring and compliance, ensuring organizations meet legal and regulatory obligations effectively.
• Excellent written and verbal communication skills, enabling the translation of complex legal concepts into accessible language for non-legal stakeholders.

• In-house legal experience, providing insight into the unique challenges and dynamics of operating within a corporate environment.
• Background in IPO readiness and SEC reporting, with familiarity with the regulatory requirements associated with public market entry.
• Experience in healthcare, marketplaces, or other regulated industries, offering specialized knowledge relevant to specific business sectors.
