N26 is a digital bank headquartered in Berlin that provides mobile banking services to customers throughout Europe. The Corporate Governance Administrator will play a central role in maintaining and strengthening the company's governance framework by managing board-level processes, overseeing policy documentation, and ensuring that all internal procedures comply with relevant regulations and industry standards. This position works in close coordination with the legal department, compliance team, and senior leadership to support transparent and accountable decision-making at every level of the organization. The administrator will be responsible for preparing meeting materials, recording formal minutes, tracking follow-up actions, and maintaining a comprehensive record of governance activities that help N26 uphold the trust of its customers, regulators, and stakeholders.

What you'll do
- Prepare and distribute detailed agendas, background materials, and supporting documentation for board and committee meetings well in advance of each scheduled session.
- Record clear and accurate minutes during governance meetings, capturing decisions and action items, then distribute finalized minutes to attendees and stakeholders within the agreed timeframe.
- Maintain and update governance policies, board charters, committee terms of reference, and standing rules to reflect current regulatory and operational requirements.
- Track all action items and resolutions arising from board and committee meetings, following up with designated owners to confirm timely and complete execution.
- Coordinate with the legal and compliance teams to review governance documents for accuracy, completeness, and alignment with applicable standards and filing deadlines.
- Manage the governance calendar across the organization, scheduling board meetings, committee sessions, and recurring review cycles while avoiding conflicts with other corporate events.
- Assist in the preparation of board reports, presentations, and briefing materials that summarize key governance topics for board members and committee participants.
- Support the onboarding process for new board members and committee participants by providing them with governance handbooks, procedural guides, and relevant historical documentation.
- Monitor developments in corporate governance regulations and best practices, and propose updates to internal policies and procedures when changes in the regulatory landscape warrant them.
- Maintain a secure, well-organized filing system for all governance-related records, ensuring that both physical and digital documents are properly archived and easily retrievable.
Requirements
- Minimum three years of experience in corporate governance, legal administration, or a related role within a regulated industry such as banking or financial services.
- Solid understanding of corporate governance frameworks, including board operations, committee structures, fiduciary duties, and the principles of accountable organizational leadership.
- Excellent written and verbal communication skills in English, with German language proficiency considered a strong advantage for working in a Berlin-based environment.
- Demonstrated ability to manage multiple concurrent tasks and meet tight deadlines in a fast-paced, detail-oriented work setting.
- Strong proficiency with standard office productivity tools, including word processing, spreadsheet, and presentation software.
- A university degree in business administration, law, political science, or a closely related field is preferred.
- Experience working with governance management systems or board portal platforms is a plus.
- The ability to handle confidential and sensitive information with discretion and a high level of professional integrity.
Nice to have
- Prior experience working at a fintech or digital banking company, where governance processes operate under rapid growth and regulatory scrutiny.
- Knowledge of German corporate governance law, including the Aktiengesetz and relevant BaFin regulatory requirements for financial institutions.
- Hands-on experience with board portal software or governance management platforms such as Diligent, BoardEffect, or comparable tools.
- Familiarity with data protection and privacy regulations, including GDPR, as they apply to governance record-keeping and board communications.
