About the role
Figma is on the lookout for a skilled legal professional to oversee corporate and securities strategies as the organization continues to grow. This position is pivotal in enhancing legal operations and providing essential guidance on regulatory issues to facilitate our expansion efforts.

What you'll do
- Oversee SEC reporting responsibilities, which include managing quarterly filings, annual proxy statements, Section 16 filings, and beneficial ownership reports to ensure compliance with regulations.
- Review and refine public communications, such as investor presentations and earnings reports, to ensure clarity and adherence to legal standards.
- Manage corporate governance tasks, including the preparation and maintenance of Board and Committee documentation, along with the implementation of relevant policies.
- Handle equity-related responsibilities, including the establishment of trading policies and the development of 10b5-1 plans to ensure compliance with securities regulations.
- Innovate and streamline legal workflows through the use of AI and other internal tools, aimed at enhancing operational efficiency within the legal department.
- Provide legal counsel to various internal teams, including finance, accounting, equity, human resources, and communications, ensuring alignment with legal standards and best practices.
- Offer legal support for a range of corporate initiatives, including financing activities and strategic transactions, to facilitate business growth and compliance.
- Collaborate with cross-functional teams to identify potential legal risks and develop strategies to mitigate them effectively.
- Conduct training sessions for internal stakeholders on legal compliance and best practices related to corporate governance and securities laws.
- Stay updated on changes in securities laws and regulations to ensure that the company is always in compliance and to advise on necessary adjustments.
- Participate in the development of corporate policies and procedures that align with legal requirements and support the company's strategic goals.
Requirements
- A minimum of four years of legal experience, ideally with a combination of time spent at a prestigious law firm and in an in-house legal role.
- Juris Doctor (J.D.) degree and active membership in good standing with at least one U.S. state bar association.
- In-depth understanding of securities laws and SEC reporting obligations, with a proven track record in these areas.
- Exceptional ability to communicate complex legal concepts to stakeholders in a clear and concise manner.
- Proven adaptability to juggle multiple projects simultaneously and adjust to evolving risk profiles in a fast-paced environment.
- Strong self-awareness regarding personal expertise, along with a proactive approach to learning new legal areas as needed.
- Excellent analytical skills and attention to detail, ensuring thoroughness in all legal documentation and processes.
Nice to have
- Experience with corporate governance best practices and familiarity with board operations.
- Previous involvement in equity administration and familiarity with stock option plans.
- Knowledge of AI technologies and their application in legal processes.
- Experience working in a technology or startup environment, understanding the unique challenges faced by such organizations.
- Familiarity with international securities regulations, particularly if the company has global operations.

Practical notes
The annual base salary for this position ranges from $153,000 to $296,000 USD, depending on experience and qualifications.
