The Legal team is growing and seeks a Senior Corporate Counsel who will serve as a key legal partner across the organization. This position reports directly to the Deputy General Counsel and can be hybrid at the corporate headquarters in San Francisco, CA, or remote within the San Francisco Bay Area for the right candidate. The successful candidate will be flexible, independent, detail-oriented, and collaborative, with a strong desire to contribute to a fast-growing company.
Key facts
What you'll do
Develop and help drive strong corporate governance and related processes for the U.S. operating company and global legal entities, including implementing relevant corporate policies and procedures.
Support corporate compliance matters by implementing and operationalizing key compliance policies in areas of governance, ethics and compliance, and personnel conduct.
Help develop and scale the company's ESG efforts, including evangelizing ESG and driving initiatives that align with the company's values and mission.
Provide legal guidance on commercial transactions, drafting and reviewing contracts, and supporting deal execution across domestic and international markets.
Assist with international growth strategies by advising on legal considerations related to expansion into new jurisdictions and cross-border operations.
Support employment and labor matters, including advising on workforce policies, employee relations, and compliance with applicable labor laws and regulations.
Collaborate with the Legal team to manage a broad range of legal matters, ensuring alignment with the company's business objectives and critical timelines.
Take initiative in a fast-paced environment with minimal supervision, demonstrating the ability to prioritize competing demands and execute independently.
Serve as a trusted advisor to leadership and cross-functional teams, offering objective, well-reasoned legal counsel on day-to-day business decisions.
Maintain and enhance corporate policies and procedures, ensuring they remain current with evolving legal requirements and industry best practices.
Requirements
Direct experience supporting a broad range of legal matters, particularly in corporate governance, compliance, and commercial transactions, is required.
Strong verbal and organizational skills with the ability to prioritize a rapidly changing workload and meet critical deadlines.
Excellent judgment and the ability to analyze complex legal issues and provide clear, actionable recommendations.
Strong interpersonal skills and the ability to collaborate with individuals at all levels of the organization in a positive, service-oriented manner.
A law degree (JD) from an accredited law school and active bar admission are required.
Experience working in a fast-paced, growth-oriented environment, ideally within a technology or security-focused company.
The ability to operate independently and take initiative with minimal oversight while maintaining high standards of quality and professionalism.
Objectivity and a results-oriented mindset, with a commitment to executing tasks accurately and on time.
Nice to have
Experience with ESG program development and sustainability reporting frameworks.
Familiarity with international legal frameworks and cross-border transaction structures.
Prior experience supporting identity security, cybersecurity, or SaaS companies.
Knowledge of AI-related legal and regulatory considerations.
Skills & tools
Proficiency in corporate governance frameworks and best practices for U.S. operating companies and global entities.
Strong drafting and negotiation skills for commercial contracts and transaction documentation.
Familiarity with compliance program design and operationalization across governance, ethics, and personnel conduct areas.
Experience with ESG strategy development and implementation.
Knowledge of employment and labor law as it applies to workforce management and policy.
Ability to manage multiple priorities simultaneously in a dynamic, fast-paced legal environment.
