Key facts
What you'll do
- Oversee and manage the company's corporate governance framework, ensuring compliance with local and international regulations.
- Prepare and maintain corporate documents, including minutes of meetings, resolutions, and statutory filings.
- Liaise with external stakeholders, including regulatory bodies, auditors, and legal advisors, to facilitate smooth corporate operations.
- Assist in the preparation of annual reports and other corporate communications, ensuring accuracy and adherence to deadlines.
- Coordinate and support board meetings, including logistics, agenda preparation, and documentation distribution.
- Monitor changes in corporate legislation and advise management on necessary adjustments to policies and procedures.
- Maintain accurate and up-to-date records of the company's corporate structure, including subsidiaries and joint ventures.
- Support the onboarding process for new directors and officers, ensuring they are well-informed about their roles and responsibilities.
- Conduct research on best practices in corporate governance and recommend improvements to enhance operational efficiency.
- Collaborate with internal teams to ensure compliance with company policies and procedures, fostering a culture of accountability.
- Assist in the development and implementation of corporate policies and procedures to streamline administrative processes.
- Provide administrative support to senior management as needed, including scheduling meetings and managing correspondence.
Requirements
- Bachelor's degree in Business Administration, Law, or a related field.
- A minimum of 3 years of experience in corporate administration or governance, preferably within a corporate environment.
- Strong understanding of corporate laws and regulations applicable in Malta and the EU.
- Excellent organizational skills with the ability to manage multiple tasks and meet deadlines.
- Exceptional written and verbal communication skills, with a keen eye for detail.
- Proficiency in Microsoft Office Suite and familiarity with corporate governance software.
- Ability to work independently and as part of a team, demonstrating initiative and problem-solving skills.
Nice to have
- Previous experience in a multinational corporation or a corporate services provider.
- Knowledge of financial regulations and compliance standards.
- Professional certifications in corporate governance or administration (e.g., ICSA, CGMA).
