About the role

Carta is on the lookout for a skilled Contracts Lawyer to enhance our UK pre-M&A legal team. In this role, you will be responsible for managing a significant volume of contract negotiations while leveraging advanced AI tools to assist our private capital clientele. Your expertise will play a crucial role in ensuring that our clients receive top-notch legal support throughout their contract processes.

What you'll do

• Lead the negotiation and finalization of pre-M&A documentation, including non-disclosure agreements (NDAs), non-reliance letters (NRLs), joinders, and engagement letters, ensuring compliance with established service level agreements (SLAs).
• Serve as the primary liaison for investment funds and asset management clients, addressing their legal needs and inquiries.
• Continuously update and enhance contract playbooks to uphold the highest standards during negotiations and ensure consistency across the team.
• Mentor and provide oversight to junior legal professionals and paralegals, guiding them in their work and fostering their professional development.
• Utilize and maximize the capabilities of legal technology platforms, including Carta Ava and HighQ, to streamline contract management processes.
• Manage the entire contract lifecycle, from the initial review phase through to final execution and entry into our systems, ensuring accuracy and compliance at every stage.
• Collaborate with cross-functional teams to align legal strategies with business objectives, ensuring that legal considerations are integrated into decision-making processes.
• Conduct thorough legal research and analysis to support contract negotiations and provide sound legal advice to clients.
• Maintain up-to-date knowledge of relevant laws and regulations that impact pre-M&A transactions within the financial services sector.
• Participate in training sessions and workshops to enhance team capabilities and stay abreast of industry best practices.
• Engage in continuous improvement initiatives to refine processes and enhance the efficiency of contract negotiations.
• Foster strong relationships with clients, ensuring their needs are met and expectations exceeded throughout the contract negotiation process.

Requirements

• A valid license to practice law in the UK, Europe, the United States, or Canada is essential.
• At least 3 years of post-qualification experience in a legal role, with a focus on contract negotiation within the financial services industry.
• Proven track record of successfully negotiating pre-M&A contracts and managing complex legal issues.
• Strong ability to communicate legal concepts clearly and effectively to clients, maintaining professionalism in all interactions.
• Excellent commercial acumen, with the capacity to balance business objectives against potential legal risks.
• Familiarity with AI-driven contract review tools, contract lifecycle management (CLM) systems, and electronic signature software is highly desirable.

• Experience working in a fast-paced legal environment, particularly within the financial services or investment sectors.
• Previous involvement in training or mentoring junior legal staff.
• Knowledge of emerging trends in legal technology and their application in contract management.
• Multilingual skills can be an advantage, especially in dealing with international clients.
