The team you will work with is the Carta Law team, specifically within the Contracts function for the Asia-Pacific region. This Contracts team oversees the complete lifecycle of commercial contracts for clients, starting from initial review through execution. You will serve as the direct day-to-day contact for sophisticated investment fund and asset manager clients. You will work closely with other lawyers and paralegals to deliver high volumes of pre-merger and acquisition contract work at speed. This delivery is supported by AI-backed tools, including Carta's proprietary platform named Ava.

As a Freelance Consultant in Contracts, you will negotiate and manage high volumes of pre-M&A agreements. These include non-disclosure agreements, confidentiality agreements, NRLs, joinders, and engagement letters. You will communicate directly with counterparties while adhering to agreed turnaround times.

You will act as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers. Maintaining and updating client playbooks will be an ongoing responsibility to ensure consistency and quality across all contract negotiations. Collaboration with junior lawyers and paralegals will form part of your role, including reviewing their work and contributing to a high-performing team culture. You will contribute to the continuous improvement of Carta's legal technology suite, identifying methods to innovate using AI-backed tools.

About You

You are commercially minded and client-focused, communicating legal advice crisply and concisely. You build strong relationships with sophisticated financial services clients. Your experience in transactional law spans 6 to 8 years or more, with a track record of independently negotiating pre-M&A contracts. You possess deep familiarity with financial services, including asset managers and investment banks and their expectations.

You hold a law degree and are licensed to practice within an APAC jurisdiction. Your physical location resides within APAC time zones to meet client service needs. You are tech-savvy and adaptable, comfortable working with and evolving a legal technology suite. Interest in legal technology or AI is a strong advantage. You are a self-starter who owns your work, thrives in a fast-paced environment, prioritizes effectively, and seeks continuous improvement and innovation.

Compensation and Details

Compensation for this role is paid on a fixed per-document basis. Specific details will be discussed during the first screening call with the Talent Team. This engagement is a freelance consultant role on the Contracts team with an APAC focus. The location encompasses Australia, Singapore, Malaysia, Hong Kong, Korea, and Japan.

What You Will Do

You will set negotiation terms for pre-merger and acquisition agreements while managing high volumes of NDAs, confidentiality pacts, joinders, and engagement letters. You will guide sophisticated asset managers and investment funds as their primary day-to-day contact across APAC jurisdictions. Architecting and refreshing client playbooks will ensure consistent quality and standardized negotiation approaches.

Coaching junior lawyers and paralegals forms part of your responsibilities, followed by reviewing their work to elevate team performance and collaboration standards. Pioneering improvements within Carta's legal technology suite will involve exploring AI tools to streamline contract workflows and accuracy. Operating confidently inside strict APAC time zones is necessary to meet client service demands and response SLAs. Championing continuous process enhancements for contract execution, from intake details to final signatures, will be expected. Exploring innovative methods to modernize legal operations using Ava and related AI-backed systems is a core function.

Requirements

You hold a law degree and are licensed to practice within an APAC jurisdiction, with proof of experience. You bring 6 to 8 plus years of transactional background, having independently handled pre-merger and acquisition negotiations. Deep familiarity with financial services, including asset managers and investment banks expectations, is essential. Residence within APAC time zones is required to align with client coverage and service obligations. You are tech-fluent, adapting quickly to legal platforms and AI tools while seeking improvement opportunities. You act as a self-starter, owning outcomes in fast settings, prioritizing work, and pursuing innovation.
