About the role
You will own the end-to-end commercial contracts lifecycle for the business, acting as the primary legal partner embedded within Sales, Product, and Engineering. You will draft, negotiate, and finalize complex enterprise SaaS and AI agreements, ensuring that critical risk management is built directly into the commercial terms. You will translate dense legal concepts into clear, actionable guidance for non-lawyer stakeholders, enabling them to move quickly without exposing the company to undue risk. You will triage incoming legal requests and redlines, establishing and enforcing review service-level agreements to keep the business flowing efficiently. You will manage the full vendor and partner contracting spectrum, including software licenses, professional service engagements, and data processing addenda. You will develop and maintain the contract templates and negotiation playbooks that serve as the foundational tools for scalable deal execution. You will own the day-to-day oversight of data privacy compliance and data governance strategy across the organization. You will identify legal risks early in the product and commercial development cycle and advise on practical mitigation strategies that protect the company without stifling growth velocity.

What you'll do
- Draft, negotiate, and execute enterprise-level software as a service and artificial intelligence agreements, including all related schedules, exhibits, and data processing addenda.
- Architect and continuously improve contract templates and a standardized negotiation playbook that empowers the sales organization to accelerate deal closure while protecting company interests.
- Efficiently triage inbound redlines and counter-parties, establishing clear contract review service-level agreements to balance speed and legal rigor.
- Lead the development and execution of the company's day-to-day privacy compliance agenda and data governance strategy, ensuring alignment with evolving regulatory expectations.
- Manage the full lifecycle of vendor and partner agreements, including software license arrangements and complex professional services contracts.
- Embed directly within the Sales and Marketing, Product, Engineering, and Finance departments to provide proactive legal counsel and remove transactional bottlenecks.
- Analyze potential legal risks at the earliest stages of product conception and commercial strategy, recommending practical mitigation measures that safeguard the business without obstructing operational speed.
- Build, refine, and own the legal operations infrastructure, including the selection and optimization of contract management systems and standardized intake procedures.
- Exercise sound judgment to determine appropriate engagement of external law firms, and then oversee those relationships to ensure cost-efficiency and strategic alignment.
- Define and manage relationships with outside counsel, clearly articulating priorities and expectations to ensure cohesive legal support across jurisdictions.
- Evaluate and implement contract lifecycle management solutions, focusing on automation, reporting, and stakeholder usability.
- Partner with finance and procurement to model risk and value in commercial arrangements, translating legal constraints into business enablement strategies.
- Maintain strict confidentiality and discretion when handling sensitive commercial terms, strategic initiatives, and personnel matters.
- Champion a "good enough to sign" mindset where appropriate, while applying rigorous attention to detail where the risk demands it.
Requirements
- Juris Doctor degree from an accredited law school and active admission to the state bar in good standing.
- A minimum of four years of post-JD professional experience, with at least two to three of those years spent in a transactional/commercial role at a top-tier Am Law 100 law firm.
- Demonstrated expertise in drafting, reviewing, and negotiating complex commercial contracts, with a proven track record of handling sophisticated deals.
- Strong experience with technology, SaaS, and cloud infrastructure agreements, including an understanding of service level agreements, data processing terms, and integration risks.
- Familiarity with data privacy laws, regulations, and standard data processing agreement frameworks across federal, state, and international jurisdictions.
- A history of building and refining in-house data privacy compliance programs and operational controls.
- Exceptional written and verbal communication skills, with a clear preference for plain, direct language that avoids unnecessary legalese.
- The ability to work fully independently, prioritize multiple competing demands, and make sound judgment calls with minimal supervision.
- A collaborative mindset and a proven ability to earn the trust of stakeholders who have low tolerance for slow or unclear legal processes.
Nice to have
- Prior in-house experience at a high-growth technology company during a Series A, B, or C funding stage.
- Direct experience with artificial intelligence and cloud services agreements, including model service terms and acceptable use policies.
- Hands-on experience negotiating federal, state, and international data privacy frameworks and related regulatory engagements.
- Track record of designing and launching internal data privacy compliance frameworks and policy programs.
- Exposure to equity compensation plans, venture financing documentation, or merger and acquisition processes in a corporate support capacity.
Practical notes
This is a full-time position based in New York. The role requires significant travel throughout the tri-state area to engage with internal stakeholders and external partners.
