What you'll do

• Interpret and analyze federal regulations to determine their application to proposed business strategies and acquisitions.
• Develop and implement legal strategies for Federal business units to ensure alignment with government compliance standards.
• Draft, review, and negotiate prime contracts, Other Transaction Authority (OTA) agreements, and teaming arrangements to protect company interests.
• Advise commercial teams on critical regulatory constraints such as export controls, ITAR/EAR, and security compliance mandates.
• Manage the end-to-end government contracting function, serving as the primary point of contact for customer contract negotiations and disputes.
• Counsel on intellectual property protection strategies and provide product-specific guidance for public sector contexts and software deployments.
• Navigate US and international ethics and compliance laws to ensure the integrity of all business operations and transactions.
• Handle disputes, claims, bid protests, and Freedom of Information Act requests with professionalism and legal precision.
• Partner with the Facility Security Officer to oversee Industrial Security and Insider Threat programs effectively.
• Evaluate and recommend changes to contracting processes to improve efficiency and reduce legal risk in federal engagements.

Requirements

• Hold a Juris Doctor from an accredited law school and maintain active membership in at least one U.S. state bar.
• Possess a minimum of eight years of government contracts experience, with a background in both law firm and in-house settings.
• Demonstrate deep knowledge of the Federal Acquisition Regulation (FAR), DFARS, and relevant agency supplements.
• Show proficiency in structuring and negotiating FAR-based contracts, OTAs, and GSA Schedule agreements.
• Have experience with Fixed Price (FFP), Cost-Reimbursement, IDIQ, Time & Materials (T&M), and BPA contract types.
• Exhibit a strong understanding of enterprise software, SaaS, PaaS, software licensing, and channel distribution models.
• Obtain and maintain an active Top Secret U.S. Government security clearance as a mandatory condition of employment.
• Adhere strictly to US and international ethics and compliance laws governing corporate behavior.
• Communicate effectively with both technical and non-technical stakeholders in high-pressure environments.
• Commit to upholding the highest standards of legal integrity and confidentiality in all professional activities.
