Senior Attorney - Corporate Law

About the role

Stratolaunch is on the lookout for an experienced Senior Attorney to enhance our legal team, focusing on corporate law within the aerospace and defense industries. This role will report directly to the Head of Contracts and Legal, providing vital legal counsel on matters related to government contracts, corporate governance, and compliance. The successful candidate will excel in a dynamic environment and work collaboratively with various departments to support the company's strategic goals.

Key facts

What you'll do

• Provide ongoing legal support for commercial, corporate, compliance, and operational matters on a daily basis.
• Draft, review, and negotiate a wide range of agreements, including prime contracts with the U.S. government, subcontracts, and contracts with commercial clients.
• Offer guidance on compliance with FAR/DFARS regulations, public contract formation, and intellectual property rights.
• Assist in the legal evaluation of proposals, terms, and conditions related to aerospace and defense projects.
• Work closely with supply chain and contracts teams to develop subcontracting strategies and address compliance issues.
• Handle export control and regulatory compliance matters, collaborating with internal teams regarding ITAR and EAR obligations.
• Oversee corporate governance responsibilities, including preparing board materials and developing internal policies.
• Create scalable legal processes and training resources for the organization.
• Support legal due diligence and governance improvements related to IPO readiness and financing activities.
• Provide counsel on employment-related matters in collaboration with HR and external legal advisors as necessary.
• Effectively manage outside legal counsel to ensure cost control.
• Proactively identify legal risks and deliver practical solutions that align with business objectives.

Requirements

• Demonstrated experience in U.S. government contracting, with a solid understanding of FAR/DFARS, prime contracts, and solicitation reviews.
• A background in the aerospace, defense, or other heavily regulated technology sectors.
• Knowledge of the key risks associated with government contracting, including compliance and audit exposure.
• Experience providing advice to senior stakeholders in a fast-paced environment.
• Strong capabilities in drafting, negotiating, and assessing risks.
• Sound business judgment with the ability to balance legal risks against operational requirements.
• Willingness to obtain and maintain a security clearance as required.

Nice to have

• In-house legal experience within aerospace, defense, or public companies that are preparing for IPOs.
• Familiarity with IPO readiness, securities law, and corporate governance practices.
• Understanding of Other Transaction Authorities (OTAs), export controls, and cybersecurity compliance in the context of government contracting.
• Experience with strategic transactions and significant corporate initiatives.
• An active security clearance is a plus.

Practical notes

• This position is available in Mojave, CA or can be performed remotely.
• Anticipated travel is minimal, estimated at less than 5%.
• Salary range: $180,800 - $237,300.
