What you'll do
Diligence and closings are scoped with workstreams, timelines are managed, issues are cleared, and clean closings are executed. Venture financing documents for SAFEs, convertibles, and Series rounds, along with restructurings, equity plan updates, commercial agreements, and governance, are supported. Junior attorneys and paralegals are supervised, templates and playbooks are standardized, and the delivery of world-class service is improved. Recurring clients are served through an outside in-house voice, thought leadership is contributed to, and business development is pursued when interests align.
Requirements
The posting states a bachelor's degree requirement. A J.D. from an accredited law school is required, with admission and good standing in at least one U.S. jurisdiction, and New York admission or eligibility is preferred. Candidates must bring 4+ years at a top Big Law firm and 3+ years focused on M&A for private companies, with tech or VC experience preferred. Drafting expertise in share purchase agreements, asset purchase agreements, merger agreements, reps and warranties, indemnities, baskets and caps, earn-outs, restrictive covenants, and post-close matters is required. Ability to navigate a wide range of deal structures is necessary. Project management across cross-functional teams and clear, concise client communication are required. A business-first, founder-friendly style with a bias to action, crisp judgment, and low-ego collaboration is mandatory. Experience with tax, IP, privacy, employment, or regulatory issues common in tech deals is preferred. Familiarity with cap table tools and data rooms, and prior RWI experience, are preferred.
