The Paralegal will be responsible for providing comprehensive legal and administrative support for the Corporate team, in particular private equity and mergers and acquisitions transactions, including drafting and managing corporate documents, conducting due diligence, coordinating filings, using AI-assisted due diligence and document review tools, and assisting with transaction signings, closings, and post-closing requirements. You will own the end-to-end execution of complex corporate matters, ensuring that every document, deadline, and regulatory touchpoint is flawlessly coordinated and aligned with client expectations. You will serve as a critical operational partner to senior attorneys, translating strategic instructions into detailed action plans that keep deals moving forward efficiently and securely. Your work will directly underpin the firm's reputation for delivering precision and vision, requiring proactive problem-solving and rigorous attention to detail at every stage. What you'll do
Coordinate and assist with the preparation of corporate documentation and ancillary transaction documents, including board minutes, written resolutions, and the maintenance of statutory registers and minute books.
Conduct legal and corporate due diligence, including managing the virtual data room and preparing diligence reports and checklists to ensure comprehensive review.
Prepare and maintain closing checklists and transaction bibles while coordinating statutory filings with Companies House and other relevant registries.
Track and manage post-closing deliverables and deadlines, including scheduling key events to ensure timely follow-up and compliance.
Support transaction closings by preparing signature packets, managing execution via DocuSign, and assembling final executed documents and client-facing closing binders.
Liaise with clients, counterparties, internal teams, and external advisers to gather information, confirm instructions, and resolve queries efficiently.
Assist attorneys in all phases of private equity, M&A, and corporate transactions, providing structured support throughout the deal lifecycle.
Perform various day-to-day matter management tasks, organizing workflows, timelines, and documentation to support seamless team operations.
Conduct legal and company research and prepare research notes and summaries to support the team's advice and decision-making.
Assist with the preparation of pitches and business development materials, contributing to proposals that reflect the firm's high standards.
Other tasks and responsibilities as assigned by the Corporate team members, ensuring flexibility and responsiveness to evolving priorities.
Utilize AI-assisted due diligence and document review tools to enhance efficiency, accuracy, and consistency in processing transaction materials.
Requirements
Possess a Bachelor's degree, demonstrating a foundational level of academic achievement and intellectual capability.
Show excellent organisational skills with strong attention to detail, ensuring accuracy in all documentation and deliverables.
Be flexible and able to multitask while balancing competing priorities and tight deadlines without compromising quality.
