About the role
You will manage a high-volume commercial workflow as the primary legal partner for enterprise deals, owning the end to end process from initial negotiation through final execution. You will serve as the critical bridge between commercial objectives and risk management, ensuring that deal momentum is never compromised by legal complexity. In this capacity, you will redline and negotiate key legal documents, including Licensing, B2B SaaS agreements, Master Services Agreements, and Non-Disclosure Agreements with precision and speed. You will partner directly with Sales, Operations, Engineering, and Senior Leadership to protect the company while actively accelerating deal velocity. You will translate complex legal frameworks into clear, actionable, business-first advice that enables technical and operational teams to move confidently. You will build and refine Factory's internal legal playbooks, contract templates, and negotiation guardrails in collaboration with the General Counsel to support rapid post-Series C scale. You will act as a pragmatic, growth oriented lawyer who thrives in a fast paced environment and owns the full lifecycle of high impact commercial transactions.

Scale legal infrastructure by partnering with the General Counsel to build and refine internal legal playbooks, contract templates, and negotiation guardrails.
Own the full lifecycle of enterprise agreements, from initial commercial discussions through execution, ensuring terms align with commercial goals and risk tolerance.
Serve as the primary legal partner for high velocity contract work, maintaining oversight of key commercial documents and related negotiations.
Interpret and apply national and international legal requirements to support cross border transactions and ensure compliance where applicable.
Communicate complex legal concepts clearly to non lawyers, enabling faster decision making and alignment across Sales, Operations, and Engineering.
Support the development and maintenance of contract management processes, ensuring accurate tracking, version control, and audit readiness.
Champion a pragmatic, growth oriented mindset by navigating ambiguity, prioritizing a heavy workload, and sustaining performance in a lean, fast growing tech environment.
Contribute to the evolution of Factory's commercial legal standards by proposing improvements to templates, playbooks, and negotiation strategies.
Act as a trusted advisor to leadership by proactively identifying legal risks and opportunities within high impact enterprise deals.
Facilitate cross functional alignment by working closely with Sales, Operations, and Engineering to ensure commercial, technical, and legal requirements are met.
Drive continuous improvement in deal execution by refining workflows, documentation standards, and internal collaboration practices.
Requirements
You bring 7 or more years of experience drafting and negotiating commercial contracts, including at least 2 years in an in house role, or 10 or more years at a major law firm with an eye toward transitioning to an in house position.
You possess proven domain expertise in handling high velocity B2B SaaS, enterprise software licensing, and inbound or outbound technology transactions.
You hold a Juris Doctor from an accredited law school and maintain active membership in good standing with any US state bar.
You are eligible to register as In House Counsel in New York and meet all related bar registration requirements for this role.
You demonstrate a practical mindset characterized by a roll up your sleeves attitude, resilience in ambiguity, and the ability to prioritize effectively under heavy workload conditions.
You have exceptional communication and storytelling abilities, allowing you to translate intricate national and international requirements into clear narratives for non legal stakeholders.
You are capable of managing multiple high stakes matters simultaneously while maintaining attention to detail and adherence to legal standards.
You exhibit strong judgment and discretion when handling sensitive commercial and legal information in a fast growing environment.
Nice to have
Experience navigating federal contracting, government procurement, defense or civilian agency contracts, or compliance with FAR and DFARS regulations.
Strong working knowledge of US privacy law, including regulations such as CCPA and CPRA, and data security frameworks as they relate to AI and cloud infrastructure.
Practical notes
This role is based in New York and requires presence in the office 5 days a week. Remote arrangements may be considered strictly on the Eastern Time Zone for exceptional candidates.
