About the role
Webflow is seeking an Associate General Counsel, Corporate to lead its corporate legal functions. This role will focus on corporate governance, preparing for public company status, and managing strategic transactions. You will be instrumental in supporting Webflow's rapid growth and development, balancing legal requirements with business objectives.

What you'll do
- Oversee board and committee meeting logistics, prepare necessary documents, and maintain official corporate records.
- Advise on corporate governance best practices and manage the company's overall corporate structure and subsidiary compliance.
- Provide legal guidance for equity plan administration, working with internal teams on design, grants, and compliance.
- Lead legal aspects of mergers and acquisitions, including due diligence, negotiation of agreements, and post-acquisition integration.
- Negotiate and draft complex commercial agreements and financing documents.
- Drive initiatives for public company readiness, including coordinating due diligence and collaborating with external counsel.
- Manage internal employment legal matters and oversee any litigation that may arise.
- Develop and implement programs for securities law compliance, insider trading policies, and SOX compliance if applicable.
- Build and manage the corporate legal team, oversee external counsel relationships, and enhance scalable legal processes.
Requirements
- Juris Doctor degree and an active bar admission.
- A minimum of 10 years of relevant legal experience, including time at a prominent law firm.
- Experience with securities laws, corporate governance, M&A transactions, SEC reporting, and SOX requirements.
- Proven experience in preparing for or managing public company compliance.

Practical notes
- Compensation for this role is structured into geographic pay zones within the U.S.: Zone A ($240,000 - $300,000), Zone B ($225,000 - $282,000), and Zone C ($211,000 - $264,000). Actual pay will depend on location, experience, and qualifications.
- This role is eligible for an annual bonus program based on company performance.
