About the role
Mach Industries is seeking a Senior Legal Counsel to guide our corporate legal strategy from our Huntington Beach headquarters. You will manage complex transactions, equity programs, and governance as we scale our autonomous defense platforms. This role serves as a primary advisor to our executive team on matters of risk, growth, and national security operations.
Key facts
What you'll do
- Lead corporate transactions including mergers, acquisitions, joint ventures, and strategic investments.
- Manage venture financing rounds, including convertible notes, SAFEs, and preferred equity.
- Oversee equity compensation programs, including option plans and grant administration.
- Maintain corporate governance, board matters, and international entity structures.
- Advise leadership on risk management and business planning.
- Coordinate with Finance, HR, and Operations to support company growth.
- Provide legal support for government contracting and DoD procurement compliance.
- Manage outside counsel across various legal and regulatory domains.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with at least one U.S. state bar.
- Minimum of 6 years of professional legal experience in corporate law, M&A, or equity matters.
- Proven ability to translate complex legal concepts into actionable business guidance.
- Experience working in fast-paced, high-growth environments.
- Ability to work onsite in Huntington Beach and travel as needed.

- Prior in-house experience at a technology company.
- Expertise in building and managing private company equity programs.
- Experience with commercial contracting.
- Background in aerospace or manufacturing legal issues, such as supply chain agreements.
