We are seeking a talented Commercial Counsel to join our dynamic team at Horizon3.ai, a leading player in the cybersecurity sector. This position is based in Amsterdam and offers a hybrid working arrangement. As a key member of our legal team, you will be responsible for managing a significant volume of commercial transactions, primarily focusing on standard agreements while also engaging with more intricate customer and partner contracts. Your expertise will be crucial in supporting our Sales, Channel/Alliances, and Customer Success teams to ensure smooth operations and compliance with our risk management policies.

What you'll do

• Draft, review, and negotiate a variety of commercial agreements, including non-disclosure agreements (NDAs), Software as a Service (SaaS) subscription agreements, master service agreements (MSAs), order forms, and data processing agreements (DPAs).
• Collaborate closely with Sales and Customer Success teams to facilitate the efficient closure of deals while ensuring adherence to the company's risk management policies.
• Analyze and respond to customer contract requests, including reviewing redlines on standard agreements and occasionally engaging with customer-provided documentation.
• Work in partnership with Sales and Revenue Operations (RevOps) to maintain momentum in deal progression and address any contract-related challenges that may arise.
• Provide practical and clear guidance to non-legal stakeholders, ensuring a balance between speed and risk management.
• Identify and escalate complex or non-standard issues to the appropriate channels as necessary.
• Utilize and assist in the maintenance of standard templates, clause libraries, and negotiation guidelines to streamline processes.
• Play a role in enhancing contract workflows and processes to support a high-volume sales environment effectively.
• Recognize recurring issues and advocate for consistent resolutions across the organization.
• Collaborate with internal teams, including Sales, RevOps, and Security/Privacy, to ensure that contract terms are aligned with overarching business and product objectives.
• Provide straightforward guidance on common contract terms and advise on when to involve legal expertise.
• Assist in internal training initiatives to help stakeholders comprehend standard terms and processes effectively.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• A minimum of 3 to 5 years of relevant experience, either in a law firm or in-house, with a strong emphasis on commercial technology transactions.
• Exceptional skills in contract drafting, negotiation, and communication in English, with the ability to deliver concise, actionable advice to non-legal professionals.
• Demonstrated capability to manage multiple deals and priorities in a fast-paced, high-growth environment.
• Familiarity with utilizing AI and legal technology tools to enhance drafting, review processes, and knowledge management.

Nice to have

• Prior in-house legal experience within a Software as a Service (SaaS) environment.
• Experience in supporting channel, Managed Service Provider (MSP)/Managed Security Service Provider (MSSP), or distributor models.
• Understanding of international contracting challenges, including cross-border data transfers, basic GDPR compliance, and export control regulations.
• Proficiency in German.
• Previous experience working with a cybersecurity organization.
