Senior Corporate Counsel

Greenhouse is seeking a Senior Corporate Counsel to join our Legal team. This new position will focus on key corporate legal functions, including governance, securities, and AI regulatory matters, playing a vital role in the company's expansion.

What you'll do

• Provide counsel on corporate governance and securities matters, assisting with board meetings, corporate resolutions, and adherence to company policies.
• Advise the Total Rewards and Finance departments on employee stock plans and their administration.
• Track and advise on evolving AI regulations, such as the EU AI Act and U.S. state laws, as they pertain to Greenhouse operations and products.
• Develop and maintain a corporate compliance program, including creating scalable policies, playbooks, and training.
• Support mergers, acquisitions, strategic partnerships, and other corporate development initiatives.
• Collaborate with internal teams and external partners on corporate and compliance issues, taking ownership of complex projects.
• Handle additional legal responsibilities as business needs arise.

Requirements

• Juris Doctor degree from an accredited U.S. law school and an active bar license.
• Minimum of 6 years of legal experience, with a blend of private practice at a reputable firm and in-house experience at a rapidly growing technology or SaaS company.
• Solid general corporate law background, with extensive knowledge of corporate governance, securities law, and M&A.
• Experience advising on equity compensation programs and working with HR or Total Rewards functions.
• Familiarity with AI governance and the developing AI regulatory landscape.
• Proven ability to offer practical, strategic legal advice to various company stakeholders.
• Capacity to work independently and manage complex legal matters.
• Strong judgment in uncertain situations, a desire to learn, and the ability to quickly grasp new legal areas.
• Excellent written and verbal communication skills, with strong organizational abilities and the capacity to manage multiple priorities.

Practical notes

• Applicants must be authorized to work in the United States full-time.
• The national salary range for this position is $163,800 to $215,000, with compensation determined by experience and qualifications.
