Sr. Commercial Counsel

About the role

Dialpad is seeking a senior legal expert to manage complex commercial transactions and help scale our legal operations. You will act as a primary advisor for high-value deals while integrating AI-driven workflows into our contracting processes. This role reports to the Deputy General Counsel and focuses on balancing legal risk with business objectives in a global environment.

Key facts

What you'll do

• Manage end-to-end negotiations for enterprise SaaS, strategic partnerships, reseller agreements, and vendor contracts.
• Serve as the main legal point of contact for strategic accounts and handle deal escalations.
• Draft and redline terms regarding liability, IP, data processing, SLAs, and audit rights.
• Partner with Sales, Finance, and Customer Success to influence go-to-market strategies.
• Collaborate with Security and Privacy teams on GDPR, CCPA, CPRA, and HIPAA compliance.
• Support RFP responses and security questionnaires.
• Develop and maintain commercial legal playbooks and escalation protocols.
• Implement AI-powered workflows for contract review, risk scoring, and legal research.
• Mentor junior counsel and legal operations staff.
• Coordinate with outside counsel on global real estate leases.
• Conduct training for business teams on commercial legal concepts and process adherence.

Requirements

• 8 to 15 years of experience as a commercial attorney.
• Significant in-house experience at a technology or SaaS company.
• Proven ability to lead high-value negotiations independently.
• Deep knowledge of software licensing, professional services, and cloud agreements.
• Expertise in data privacy and security regulations including GDPR, CCPA, CPRA, and HIPAA.
• Experience building legal infrastructure such as templates and approval workflows.
• Ability to provide clear guidance to C-suite and VP-level executives.
